Representation And Undertaking For Not Being Anti-Social Force

I will not raise any objection to the Company’s suspending transactions with myself or terminating transactions with myself by notice from the Company if it turns out that I fall within any of the persons listed in paragraph (1) or engage in any of the acts listed in paragraph (2), or make any false statement regarding the representation and undertaking under paragraph (1). I will not make any claim against the Company for any damage incurred by myself due to such suspension or termination of the transactions. In addition, I will be responsible for any damage incurred by the Company.

• In connection with transactions with the Company, I hereby represent that I do not, and undertake that I will not, fall within:
  • Organized crime group;
  • Member of an organized crime group;
  • Person who ceased to be a member of an organized crime group member within the past five (5) years;
  • Quasi-member of an organized crime group
  • Corporation related to an organized crime group;
  • Shakai undo hyobo goro (a person seeking illicit benefits by the use of violent or illegal acts under the name of social movement) such as a corporate racketeer, or special intelligence organized crime group, etc.;
  • Person equivalent to any of the above (those that fall under <1> through <7>, collectively “Organized Crime Group Member, etc.”); or
  • Person who falls under any of the following situations:
    • Maintaining a relationship in which it is deemed that Organized Crime Group Member, etc. controls the management;
    • Maintaining a relationship in which it is deemed that Organized Crime Group Member, etc. is effectively engaged in the management;
    • Maintaining a relationship in which it is deemed that he/she uses Organized Crime Group Member, etc. unjustifiably, such as for the purpose of acquiring illicit benefits for himself/herself, his/her company or a third party, or for the purpose of inflicting harm on a third party;
    • Maintaining a relationship in which it is deemed that he/she is engaged in providing funds or benefits to Organized Crime Group Member, etc.; or
    • Whose officer or other person practically engaging in the management has a socially unacceptable relationship with Organized Crime Group Member, etc.
• I undertake not to engage, either by myself or through a third party, in any of the following acts:
  • Violent demand;
  • Unreasonable demand beyond legal responsibilities;
  • Threatening act or statement or use of violence in connection with transactions;
  • Act of damaging the Company’s credit or obstructing the Company’s business by spreading rumors, using fraudulent means or exercising force; or
  • Any other acts similar to any of the above.
